Terms of Service

These Terms of Service ("Agreement") govern the access and use of the Influencersforce.com platform and related services (collectively, the "Service") provided by Influencersforce, Inc., a Delaware C-Corporation ("Company," "we," "us," or "our"). By accessing or using the Service, the individual or entity using the Service ("Customer," "you," or "your") agrees to be bound by this Agreement.

1. License Grant & Service Access

Subject to your compliance with this Agreement and payment of applicable fees, Company grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes. You shall not modify, reverse engineer, decompile, disassemble, or create derivative works of any software contained in the Service.

2. Artificial Intelligence & LLM Disclaimer ("AS IS")

2.1 Experimental & Dynamic Nature: The Service relies heavily on Large Language Models (LLMs), Agentic workflows, and Artificial Intelligence to automate marketing workflows, communications, and data analysis.

2.2 AI Output Accuracy: Customer acknowledges that AI and LLM technologies are probabilistic and may produce inaccurate, biased, or "hallucinated" results. The Service is provided “AS IS.” Customer is solely responsible for reviewing and verifying the accuracy, tone, and legality of any content, summaries, negotiations, or communications generated by the Service before taking action or allowing the AI Agent to execute tasks.

3. Third-Party Integrations & Account Authorization

3.1 Authorized Access: The Service requires connection to third-party accounts (including but not limited to Gmail, YouTube, and Meta) to function effectively. Customer expressly authorizes Company to access, retrieve, process, and transmit data from these connected accounts strictly as required to provide the Service.

3.2 Google API Integrations: If you connect your Google account, the Service will request access to specific Google APIs (e.g., Gmail for outreach, YouTube for metadata auditing). Your use of these integrations is additionally governed by our Privacy Policy and Google's respective Terms of Service.

4. DATA OWNERSHIP, PROPRIETARY INSIGHTS, AND COMPETITIVE NEUTRALITY

4.1 Customer Data: Customer retains all right, title, and interest in and to all data, brand guidelines, product descriptions, and communications uploaded or provided to the Service by the Customer ("Customer Data").

4.2 Proprietary Insights: The Service uses AI Agents to process Customer Data and Third-Party Data (e.g., YouTube metadata) to generate derived analysis, including but not limited to: "Content Fit Scores," "Quality Metrics," "Relationship Analysis," "Channel Health Assessments," and "Strategic Outreach Plans" (collectively, "Proprietary Insights").

4.3 Ownership and Restrictions: All Proprietary Insights are the sole and exclusive property of Influencersforce, Inc. Customer is granted a limited license to view these Insights within the Platform for its internal business purposes. Customer may not download, export, scrape, or disclose Proprietary Insights to third parties without express written consent.

4.4 Competitive Neutrality & Data Siloing: Company is committed to the security and exclusivity of your strategic data. Company will not share, sell, or disclose Proprietary Insights generated for your account with your competitors. Every Customer account is logically separated ("siloed") within our infrastructure. Insights derived from your specific Brand DNA and GTM strategy are used exclusively to power your campaigns and will not be used to provide a strategic advantage to other platform users.

4.5 Google API Compliance: Consistent with Google’s Limited Use Policy, the Company’s generation of Proprietary Insights will never involve the sale of raw data retrieved from Google APIs, nor will it involve using restricted Google data to train generalized AI/ML models for use by other customers.

5. Confidentiality

Both parties agree to hold in strict confidence and not disclose the other party's Confidential Information to any third party. “Confidential Information” includes all non-public materials, software, pricing models, technical processes, proprietary business workflows, and Customer Data.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR ANY LOSS OF DATA, LOST PROFITS, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE AI AGENTS OR OUTREACH AUTOMATION. IN NO EVENT WILL COMPANY’S AGGREGATE LIABILITY EXCEED THE AMOUNT CUSTOMER ACTUALLY PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Publicity

Unless Customer provides written notice otherwise, Company may use Customer’s name and/or logo to identify Customer as a user of Influencersforce on our website and in marketing materials.

8. Governing Law and General Terms

8.1 Law & Jurisdiction: This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.

8.2 Severability: If any provision is held unenforceable, the remaining provisions remain in full effect.
